These Terms of Use govern your access to and use of the public-facing website operated by Practice Diagnostic Systems, LLC, doing business as Practical Data Solutions (“PDS,” “we,” “us,” or “our”), including the pages, content, resources, and features available through the website (collectively, the “PDS Site”).

By accessing or using the PDS Site, you acknowledge that you have read, understood, and agree to be bound by these Terms of Use and our Privacy Policy, which is incorporated into these Terms of Use by reference. These Terms of Use apply only to the public-facing PDS Site. They do not govern your use of PDS software, applications, client portals, hosted environments, professional services, deliverables, or other products or services that are subject to a separate written agreement.

These Terms of Use do not modify or supersede any separate agreement between PDS and a client, business partner, employee, contractor, or authorized user. If there is a conflict between these Terms of Use and a separate written agreement with PDS, the separate written agreement will control with respect to its subject matter.

These Terms of Use also do not apply to third-party websites, services, or resources that may be accessed through links on the PDS Site.

 

INFORMATIONAL PURPOSE

The PDS Site contains information authored by PDS and, in some instances, information provided by third parties. The content of the PDS Site is provided for general informational and educational purposes only.

Content available through the PDS Site does not constitute medical, legal, accounting, financial, compliance, or other professional advice. Nothing in these Terms of Use excludes or limits any liability that cannot lawfully be excluded or limited under applicable law.

 

INDEMNIFICATION

You agree to defend, indemnify, and hold harmless PDS and its members, shareholders, directors, officers, employees, agents, affiliates, subcontractors, and professional advisors from and against third-party claims, actions, liabilities, damages, judgments, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to:

  1. Your unlawful or unauthorized use of the PDS Site;
  2. Your violation of these Terms of Use;
  3. Your infringement or misappropriation of another person’s intellectual-property, privacy, publicity, or other rights; or
  4. Content or materials you submit, transmit, or otherwise make available through the PDS Site.

 

CHANGES TO THESE TERMS

PDS may update these Terms of Use periodically. When changes are made, PDS will post the revised Terms of Use on the PDS Site and update the “Last Updated” date.

Unless otherwise stated, revised Terms of Use will become effective when posted. Your continued use of the PDS Site after revised Terms of Use become effective constitutes your acceptance of the revised Terms.

When required by applicable law, PDS will provide additional notice or obtain consent before a material change becomes effective. Changes to the collection, use, or disclosure of personal information will also be governed by the PDS Privacy Policy and applicable law.

 

FORCE MAJEURE

PDS will not be responsible for any failure or delay in performance caused by circumstances beyond its reasonable control, including acts of God, natural disasters, severe weather, fire, flood, earthquake, epidemic, pandemic, acts of war or terrorism, civil unrest, labor shortages or disputes, governmental actions, utility failures, Internet or telecommunications failures, cyberattacks, or failures of third-party service providers.

 

GOVERNING LAW AND VENUE

These Terms of Use will be governed by and construed in accordance with the laws of the State of Connecticut, without regard to its conflict-of-law principles.

Any legal action arising out of or relating to these Terms of Use or the PDS Site must be brought exclusively in the state or federal courts located in New Haven County, Connecticut. You consent to the personal jurisdiction and venue of those courts.

 

GENERAL PROVISIONS

If any provision of these Terms of Use is determined to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permissible or severed, as appropriate. The remaining provisions will remain in full force and effect.

PDS’s failure to enforce any provision of these Terms of Use will not constitute a waiver of that provision or PDS’s right to enforce it later.

Section headings are provided for convenience only and do not affect the interpretation of these Terms of Use.

These Terms of Use, together with the Privacy Policy, constitute the entire agreement between you and PDS regarding your use of the public-facing PDS Site. They do not replace, modify, or supersede any separate written agreement between you and PDS.
